Welcome to Webino Solutions. These terms define the rules, obligations, and relationship governing our professional relationship when you use our website or hire us for digital services.

01 — Acceptance

Acceptance of terms

By accessing webinosolutions.com, subscribing to our services, or engaging in a formal contract with Webino Solutions ("we," "us," "our"), you confirm that you have read, understood, and agreed to be bound by these Terms & Conditions.

If you are accepting these terms on behalf of a company or other legal entity, you warrant that you have the authority to bind that entity to these terms.

Plain English: Working with Webino Solutions means you agree to this professional code of conduct and billing framework. Let's build together respectfully!

02 — Service Scope

Services we offer

Webino Solutions provides premium digital services across web development, custom software engineering, mobile applications, brand design, copy/content writing, and search engine optimization.

Every engagement is accompanied by a formal proposal, statement of work (SOW), or project outline detailing specific milestones, deliverables, and associated timelines.

03 — Obligations

Client responsibilities

To deliver stunning results on schedule, our team depends on timely cooperation. As our client, you agree to:

  • Provide complete and accurate project briefs, requirements, and brand guidelines.
  • Furnish necessary copy, imagery, assets, API keys, or hosting credentials in a structured format.
  • Offer constructive, consolidated feedback on prototypes and milestone releases within agreed review windows.
  • Designate a primary contact person to ensure clear, fast decision-making.

Delays in asset provisioning or feedback loops directly impact launch timelines and may incur scheduling revision fees if severe.

04 — Payments

Fees, deposits, & billing

We are a registered MSME under the Government of India, operating with clear commercial policies:

  • Deposit — A non-refundable setup deposit (typically 30% to 50%) is required before work commences.
  • Milestone Payments — Remaining payments are divided across project milestones (e.g., design approval, development build, and pre-launch validation).
  • Invoicing — Invoices are sent digitally and are payable within 7 business days of issuance unless stated otherwise in your contract.
  • Late Payments — Overdue balances are subject to a suspension of services or a late fee in accordance with government MSME guidelines.

All delivered source files, databases, and assets remain the property of Webino Solutions until all outstanding invoices are cleared in full.

05 — Intellectual Property

IP & ownership rights

We believe in absolute client ownership upon successful project completion:

  • Ownership Transfer — Upon complete payment of all agreed fees, all custom code, assets, graphic designs, and content created specifically for your project transfer entirely to you.
  • Pre-existing Code & Open Source — Webino Solutions retains rights to general utility scripts, design frameworks, and standard modules developed prior to or independently of this agreement. Open-source libraries are governed by their respective licenses (e.g., MIT, Apache).
  • Portfolio Rights — Unless explicitly agreed otherwise under a private NDA, Webino Solutions reserves the right to display design mockups, project case studies, and a link to the live project in our professional marketing and portfolio galleries.
06 — Confidentiality

NDA & trade secrets

Trust is our greatest asset. Both parties agree to safeguard all proprietary business information, source code, data sheets, and launch strategies shared during the course of the engagement.

We do not share your business model, customer data, or operational parameters with competitors or third parties under any circumstances.

07 — Liability Limits

Limitation of liability

To the maximum extent permitted by applicable law, Webino Solutions shall not be liable for any indirect, incidental, special, exemplary, or consequential damages — including loss of profits, data corruption, business interruption, or server outages.

Our cumulative liability for any claim arising out of or relating to our services shall not exceed the actual amount paid by you to Webino Solutions for the specific service under dispute.

08 — Termination

Agreement termination

Either party may terminate an ongoing service agreement by providing 14 days of written notice. Upon termination:

  • You will be invoiced for all work completed and hours logged up to the date of termination.
  • Upon payment of the exit balance, all completed deliverables and progress assets will be packed and delivered to you.
  • Failure to pay outstanding balances within 30 days of termination will result in the immediate forfeiture of intellectual property rights and removal of hosting privileges.
09 — Legal Framework

Governing law

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of India.

Any disputes, claims, or legal proceedings arising out of or in connection with our services, website, or agreements shall be subject to the exclusive jurisdiction of the competent courts located in Kota, Rajasthan, India.
